APP/ART — Terms of Service
Introduction
These Terms of Service ("Terms") govern your use of services provided by APP/ART ("we", "us", or "our"). By engaging with our services, you agree to these Terms in full.
Scope of Services
APP/ART provides design and development services, including but not limited to brand foundation, visual identity, web design and development, and digital systems.
The scope of each project will be defined and agreed upon in writing prior to the start of work. Any additional requests outside the agreed scope may require separate approval and a separate quote.
Engagement & Communication
All projects begin with a short alignment call to define goals, timelines, and deliverables. You'll receive a written scope and a fixed price before any work starts.
Communication will primarily take place through agreed channels such as email, messaging platforms, or scheduled calls. Timely feedback is essential to ensure smooth progress.
Payment Terms
Services are billed at a fixed price per project, agreed in writing before work begins.
50% is payable on acceptance of the quote, which reserves your project slot
50% is payable on completion, before final files are handed over
The agreed price will not change unless the scope changes and you approve it in writing
Prices are quoted in [GBP] and exclude any third-party costs (see below)
Payments are non-refundable once work has begun, unless otherwise agreed
Late payments may result in a pause or delay in services. Work paused for non-payment may be rescheduled subject to availability.
Third-Party Costs
Some projects require items we buy on your behalf or that you license directly — fonts, stock imagery, hosting, domains, plugins or paid platform subscriptions.
These are not included in the project price. We'll flag them before purchase and either invoice them at cost or ask you to license them in your own name.
Revisions & Feedback
Revisions are included as set out in your agreed plan. Essential includes two rounds. Complete and Extended include unlimited revisions within the agreed scope.
Revisions are handled in a focused and structured manner. Feedback should be clear, consolidated, and provided within a reasonable timeframe to maintain steady progress and avoid unnecessary delays.
Requests that change the agreed direction or add new deliverables are treated as new scope, not revisions, and will be quoted separately.
Your Responsibilities
To hit the agreed dates, we need content, brand assets, access and approvals from you at the points set out in the project plan.
If materials or feedback are delayed by more than [14 days] [confirm], we may need to reschedule your project around other commitments. Delivery dates assume reasonable responsiveness on both sides.
Timelines
We commit to the delivery date in your written scope. If we're going to miss it for reasons within our control, we'll tell you as early as possible and agree a new date.
We're not liable for delays caused by late materials, delayed approvals, or third-party services outside our control.
Intellectual Property
Upon full payment, final deliverables will be transferred to the client, including source files and full usage rights.
APP/ART retains ownership of any underlying tools, templates, design systems and working methods used to produce the work, along with any concepts not selected by the client.
APP/ART retains the right to showcase completed work for portfolio and promotional purposes, unless otherwise agreed in writing.
Confidentiality
Both parties agree to keep commercially sensitive information shared during a project confidential, and not to disclose it to third parties without permission.
This does not apply to information that is already public, or that we're required to disclose by law.
Cancellation
You can cancel a project at any time in writing. The initial 50% is non-refundable once work has begun, and any work completed beyond that point will be invoiced on a pro-rata basis.
We may decline or end an engagement where the working relationship has broken down, the scope has changed beyond what was agreed, or payment terms are not met. If we cancel without cause, we'll refund any amount paid for work not yet delivered.
Liability
We deliver our work with reasonable skill and care, but we don't warrant that a design, website or system will produce any particular commercial result.
To the extent permitted by law, our total liability in connection with a project is limited to the total fees paid for that project. We're not liable for indirect or consequential losses, including lost profits or lost data.
Governing Law
These Terms are governed by the laws of Gibraltar, and any dispute will be subject to the exclusive jurisdiction of the courts of Gibraltar. [confirm]
Changes to Terms
We may update these Terms from time to time. Continued use of our services indicates acceptance of any updates. The version that applies to your project is the one in effect when your scope was agreed.
